Rudolph Gentile

CHAIRMAN & CEO

Born in Rome on 11th November 1972, Rudolph Gentile holds a degree in Social Sciences from the La Sapienza University in Rome. He is Chairman of the Board of Directors of the Issuer. His career began in 1993, where he worked as head of Layover for the Air Europe airline, at Rome’s Fiumicino and Ciampino airports. In 1995, after a brief experience in the marketing department at Air Europe, he moved to the Cargo division, where the next year he became the sole manager and developed his business management skills. In 1996, Rudolph Gentile came to work in the baggage protection area and in 1997 he founded Safe Bag S.p.A.. In 2004, he founded Moviemax Ltd., a cinema production and distribution company, listed on the stock market, of which he was CEO, and following that, President, until 2010. In 2010, after having stepped down from his activities with Moviemax Ltd., he founded M2 Pictures Ltd., another cinema production and distribution company. From 2010 to 2012 he was on the board of directors for the Air Italy Ltd. airline.

Simone Gamba

EXECUTIVE DIRECTOR

Born in Rho on the 7th April 1977, Simone Gamba is on the Board of Directors of the Issuer. Once he had finished his studies, he began his business career in the Information Technology and management consultancy sectors, working with important TLC businesses. In the early 2000s, he turned himself to the development of applications available through web application and industrial mobile devices. During his time as a businessman, he has been involved in emerging technologies, introducing them into business processes. Over the years, he has worked with many different themes in the sector, from industrial automisation to nano-technologies, as well as more classic business processes. In more recent times, he has focused on the development of B2C/B2B (full stack), making the most of the diffusion of consumer mobile devices. In 2018, he came to work at Sostravel, where he has the role of executive director and Chief Operating Officer.

Roberto Mosca

NON-EXECUTIVE DIRECTOR

Born in Rome on 17th November 1968. After his studies, he perused the areas of Neuro-linguistic Programming (NLP) and Transactional Analysis with a focus on communication, persuasion and human resource management. He has participated in many courses run by world leaders in Communication, such as Anthony Robbins, Roy Martina, Deepak Chopra, Pierluigi Imperatore, and Roberto Re, as well as many other courses on positive thinking, goal-reaching and sales techniques. He started his career in 1990 in the sales division of Banca Mediolanum Ltd., moving in 1993 to Progetel Ltd., in the TLC sector, with the goal of expanding the commercial network. From 1995 to 2004 (the year in which Safe Bag was launched), he worked very successfully as Sales Director in different roles, both in Italy and abroad. In 2004, he joined Safe Bag, where he currently works as chief Commercial & Operations Officer, as well as managing the French subsidiary company, FSB service.

Nicola De Biase

NON-EXECUTIVE DIRECTOR

Born in Castrovillari the 14th July 1978, he graduated in 2003 from Bocconi University in Milan with a degree in Economics and Finance. He is on the Board of Directors of the Issuer. He gained experience in the private equity sector in leading investment firms, including Convergenza S.C.A., Cape Natixis SGR Ltd. and Meridie Investimenti Ltd.. In 2014, he became a partner in Italglobal Partners Ltd., an investment firm which follows the ‘club deal’ logic, where he oversees, as an investor and director, AMF Ltd., an Italian firm specialising in the production of products for the eyewear industry, and Gimel Ltd., an Italian firm specialised in children’s clothes. From May 2014 to July 2018, he has been an investor, and Investor Relator and Corporate Finance Manager at Safe Bag S.p.A.. In May 2016 he was nominated for the Board of Directors of Alfio Bardolla Training Group Ltd., the Italian market leader in personal finance training, which, since July 2017, has been listed on the AIM Italia segment of the Italian stock exchange, Borsa Italiana.

Luca Galea

NON-EXECUTIVE DIRECTOR

Born in Rome the 2nd August 1969, Luca Galea earned a degree in Economics and Business from Sapienza University in Rome. He has been registered on the Order of Chartered Accountants and Bookkeeping Experts of Rome since 1999. He began his professional activities at the Studio Legale e Tributario Napolitano. Since 2000, he has been collaborating with the Studio Legale Gallavotti, Honorati & Partners law firm in Rome, undertaking primarily work involving Corporate Law, with a focus on budget for firms working in the financial, property, publishing, large-scale food distribution, cinema, pharmacological, electric energy production, aerospace engineering and shipbuilding industries. These activities are carried our along with audit firms in Italy, such as Deloitte and Ernst and Young.

Edoardo Zarghetta

INDEPENDENT DIRECTOR

Born on the 3rd October 1973, he holds a degree in Political Science from the University of Sapienza in Rome. In 2009, he graduated with an M.Sc in Energy from Heriot-Watt University in Edinburgh and in 2010 he gained an MBA from Edinburgh Business School. Over the years he has gained a wealth of experience in Swiss, Japanese and European banks in the marketing and funding sectors, maintaining institutional investor relations during corporate bond emissions and in the trading sector. Today, he is Chief Dealer at Danske Bank and Co-founder of Skytech Research Ltd.

Alessandro Pacieri

CHAIRMAN OF THE BOARD OF STATUTORY AUDITORS

Born in Spoleto on 23rd June 1970, Alessandro Pacieri holds a degree in Economics and Business from the LUISS University in Rome. He is a tax advisor and a statutory auditor. He started his career by studying at a prestigious institution, then by giving tax and litigation advice. He updated his skills through various financial consultancy roles, covering many complex cases and always with medium to large businesses. Since 2011 he has been a Tax Partner at Ernst and Young.

Paolo Natalini

EFFECTIVE STATUTORY AUDITOR

Born in Rome 7th September 1969, Paolo Natalini is a Public Accountant, and has been registered on the Order of Chartered Accountants and Bookkeeping Experts of Rome since 1993. He works on a freelance basis and offers consultancy, assistance and financial management, accountancy for businesses, financial planning and business management, working with important foreign airlines such as Aerolineas Aergentinas; British Airways PLC; Thai Airways International PLC; Gulf Air Company; Albanian Airlines.

Davide Balducci

EFFECTIVE STATUTORY AUDITOR

Davide Balducci, born in Rome, 16 March 1987, graduated with honors at Luiss Guido Carli University Rome in Economics and Management.He is a Chartered Accountant and Statutory Auditor.After gaining experience as Controller and CFO, he has decided to start tax and accounting consultancy for individuals and companies.

Cosimo Pergola

SUBSTITUTE STATUTORY AUDITOR

Born on the 24th March 1939 in Cerignola, Cosimo Pergola holds a degree in Economics and Business from the University of Sapienza in Rome. He has been registered on the Order of Chartered Accountants and Bookkeeping Experts of Latina since 1966. From 1965 to 1983 he worked as a teacher of Accountancy and Business and Banking Strategy at the Technical Business University of ‘Vittorio Veneto’ in Latina. Since 1965, he has been working freelance, consulting on corporate, accounting and tax issues.

Andrea De Nigris

SUBSTITUTE STATUTORY AUDITOR

Born in 9th May 1981 in Rome, Andrea de Nigris has a degree in Business Economics from the University Link Campus at the University of Malta. He has an LL.M in International Tax Law from the International Tax Centre in the University of Leiden. Since 2012, he has been registered on the Order of Chartered Accountants and Bookkeeping Experts. In 2005, he worked at the Banca Nazionale del Lavoro; in 2006 he worked at the International Bureau of Fiscal Documentation as a “Country Specialist”. In 2007 he worked for the international tax department of Ernst and Young in Luxembourg: in 2009 he worked at the corporate tax department at Deloitte. Since 2011 he has been working at Studio Tributario Societario in association with Ernst and Young, with which it has been associated since 2014.
